Terms and Conditions of Sale
Business to business terms. Plain versions of the clauses that actually come up.
This is a working draft and has not been reviewed by a lawyer. It is published so the site is complete and so you can see the intended commercial position, and it will be replaced before the company takes real orders. Where these terms and a signed contract disagree, the signed contract wins.
1. Who these terms are with
These terms apply to sales by Aircraft Mechanic Tool Solutions to businesses and organisations. This is not a consumer site. Nothing here is intended to exclude any right you have as a business under mandatory law.
2. Quotes
Nothing on this website is an offer. Prices shown are indications, and an order becomes a contract when we accept it in writing. A written quote is valid for 30 days unless it says otherwise, and it is priced on the information supplied with the enquiry. If the tool list, the quantity, the drawer dimensions or the marking scheme change, the quote is re-priced.
3. Prices, VAT and payment
Prices are in euro and exclude VAT. Prices are in EUR excluding VAT. VAT is added for buyers in the EU without a valid VAT registration number. Carriage is quoted separately per order.
Deliveries to an EU VAT registered business with a valid registration number are supplied under the reverse charge. The registration number must be given before invoicing.
Unless agreed otherwise in writing, payment is due before dispatch for a first order, and to agreed net terms afterwards. Late payment carries statutory interest.
4. Delivery and lead times
Published lead times are working days and are honoured as far as we control them. For custom work the lead time runs from your approval of the layout drawing. Time is not of the essence unless we have agreed a delivery date in writing.
Risk passes on delivery. Title passes on payment in full.
5. Custom work
Custom foam, cut kits and marked or serialised tools are made to your specification. Once you approve the layout drawing or the marking scheme, the work is not returnable and not cancellable, because it cannot be resold. Check the drawing carefully. If something on it looks wrong, say so before approving it rather than after cutting.
You confirm that you have the right to supply us with any drawing, part number list or marking convention you send, and that using it does not infringe anyone else's rights.
6. Returns
Stocked items, unused and in original packaging, may be returned within 14 days of delivery with prior agreement. Return carriage is yours unless the item was faulty or wrongly supplied. Custom items are excluded, as set out above.
Report damage or shortage within five working days of delivery, with a photograph.
7. Warranty
Goods are supplied with the manufacturer's warranty, and we will pass a valid claim through and chase it. Foam is warranted against manufacturing defects. Normal wear, cuts from misuse, and degradation from chemical exposure outside the specified resistance of the material are not defects.
8. Calibration and certification
Where an item is supplied with a calibration certificate, that certificate states the laboratory, the standard and the date. Keeping the item within its calibration interval in service is the operator's responsibility, and so is the decision about what interval is appropriate for how the tool is used.
We are not an approved maintenance organisation and we do not certify or release aircraft parts. Supplying tooling and marking services is not an approval activity, and we make no representation that using our products by itself makes your organisation compliant with any regulation.
9. Liability
We do not limit liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Subject to that, our total liability for any order is limited to the price of that order, and we are not liable for loss of profit, loss of use, aircraft downtime, loss of contract or any indirect or consequential loss. Given what this equipment is used around, that allocation is the basis on which the price is set, and it is the point in these terms most worth reading before you place a large order.
10. Governing law
These terms are governed by Bulgarian law, and the courts of Bulgaria have exclusive jurisdiction, without prejudice to any mandatory rule that says otherwise.
